JELD-WEN announced today that, “by mutual agreement,” President and CEO Mark Beck has left the company effective yesterday, Feb. 27. Board Chairman Kirk Hakchigian, the former CEO, has taken up his old duties again until a successor is named.

The Charlotte, N.C.-based window and door manufacturer also announced it will acquire American Building Supply (ABS), a provider of value-added services for the millwork industry, as well as A&L, an Australian manufacturer of residential aluminum windows and patio doors.

No reason was given for Beck’s departure. Today’s announcement came one week after the company reported a net loss of $93.7 million in 2017’s fourth quarter vs. a $258.7 million profit a year earlier. Revenues worldwide increased 0.3% in the fourth quarter year-over-year and rose 2.6% in all of 2017, but in North America they declined 3.3%. As of Dec. 31, the company had $1.27 billion in total debt and $2.86 billion in total assets. Adjusted EBITDA for the quarter climbed 1.3% to $103.1 million.

In a statement, Hakchigian said: “We appreciate Mark’s contributions to the company during his tenure. JELD-WEN remains committed to delivering long-term value to our shareholders through solid execution of all aspects of our operating model, including operational excellence, profitable organic growth, and strategic M&A.”

The ABS deal brings JELD-WEN a company that sells commercial and residential doors, frames, and hardware to distributors, dealers, and home centers. ABS’ Doormerica division manufactures decorative, specialty, and architectural doors, JELD-WEN said in a press release. ABS is based in Sacramento, Calif., and has locations in California, Nevada, Arizona, Washington, Georgia, Colorado, Texas, and Hawaii.

“The acquisition of ABS aligns perfectly with our strategy to expand our door capabilities with value-added services and customized full door systems,” John Linker, senior vice president for corporate development and investor relations, said in a statement. “ABS, together with our recent acquisition of MMI Door, will expand our ability to offer these services to our customers with a broad geographic coverage area across the U.S.”
